Acquisition & Repositioning Advisory

For owners and investors looking at a deal and asking 'is this actually a good idea?'

Schedule a Conversation

Every acquisition looks better on the marketing flyer than it does in the underwriting. Every repositioning plan looks better in the pro forma than it does in the field. The brokers selling you the deal are not paid to tell you it is a bad idea. Your own team — if you have one — is often too invested in being right to push back on you. What is missing is an independent senior voice who has bought, sold, and repositioned enough property to tell you, with specifics, exactly where this deal will and will not perform.

Who This Service Is For

Who This Service Is For

  • Owners evaluating a specific acquisition opportunity and wanting an independent underwrite before they commit capital.
  • Family offices and high-net-worth principals making their first direct real estate acquisition.
  • Existing owners considering a major repositioning converting a property type, adding units, repositioning the tenant base and wanting an independent stress-test of the plan.
  • Lenders, partners, or family members who have been asked to invest in someone else's deal and want a second opinion before they fund.

THE PROBLEM WE SOLVE

What you're up against

The single most expensive mistake in commercial real estate is the deal you should not have done. Not the deal that went wrong because of a market shift — those happen — but the deal that was structurally flawed on day one and that someone on your side should have caught. The flaws are almost always the same: rent assumptions that don't match the submarket, expense assumptions that don't match the building's actual condition, exit cap rates that assume a buyer will pay tomorrow what no one is paying today, repositioning timelines that assume a permitting process that doesn't exist in that municipality. Each one is catchable in a focused 30-to-60-day underwrite. Each one, missed, costs years and seven figures.

WHAT'S INCLUDED

What this engagement includes

  • Full independent underwrite. We build our own model from the property's actual rent roll, expense history, and market comps  not the broker's.
  • Physical due diligence coordination. Structural, MEP, environmental, zoning. We tell you which inspections to commission and we read every report.
  • Submarket validation. What the rents in this submarket are actually achieving, what the realistic absorption is, and what comparable repositionings have actually delivered.
  • Stress tests. We run downside scenarios; rents flat, vacancy elevated, exit cap rate 50 bps higher  and tell you what the deal looks like if any one of them happens.
  • Repositioning plan validation. If a value-add story is being told, we tell you whether it is a real story or a marketing story.
  • Deal structure review. Debt sizing, equity structure, partnership terms, sponsor promote, we review each one and flag anything that should be renegotiated before closing.
  • Closing recommendation. At the end of the work we give you a direct answer: proceed, proceed with these specific adjustments, or walk.

 HOW WE WORK

Engagement model

Acquisition & Repositioning Advisory engagements are scoped tightly — typically 30 to 60 days from engagement to closing recommendation. We move at the pace of the deal. If you need an answer in two weeks, we work in two weeks. If the deal dies during diligence, we stop billing.

PRICING

What this costs

Acquisition & Repositioning engagements are typically priced as a fixed fee in the range of $15,000 to $50,000, depending on the size and complexity of the property and the depth of work required. For very large or unusually complex transactions, the engagement may be structured differently. All engagements are scoped and quoted in writing before any work begins.

WHY US — Credibility Anchor

We have been on the buy side, the sell side, the broker side, and the lender side of acquisitions. We know what the seller is hiding because we have been the seller. We know what the broker is overstating because we have been the broker. We know what the lender will and will not finance because we have signed the loans. The independent underwrite we deliver is informed by sitting in every chair in the room.

RELATED WORK

Acquisition & Repositioning case study Single-tenant net-lease retail has built billions of dollars of long-term wealth for owners. It has also, in recent years, become one of the more difficult sub-sectors in commercial real estate. Pharmacies in particular Rite Aid, Walgreens, CVS have been closing locations, renegotiating leases, and filing for bankruptcy at a pace that has caught many long-term owners by surprise. A 2-acre suburban parcel with a Rite Aid on it is no longer the bond-like asset it was a decade ago. We were retained by the ownership of a 2-acre suburban Rite Aid site through the period of the tenant's bankruptcy and disposition. The engagement was not about finding a buyer — it was about helping the owners see the full menu of options for the asset (re-tenant with a national replacement, subdivide and re-tenant with multiple smaller tenants, develop the excess land into inline retail or pad sites, convert to medical office, or demolish and reposition for a different use) and choose the option that best served their long-term needs. The ownership selected an outright sale of the entire parcel to a single-tenant car wash operator at an above-market price — because, given the family's specific needs, that was the option that fit. Acquisition discipline also applies in our multi-service engagements — see the Millstone Spirits Group case study for how it integrated with the strategic, owner's-rep, and asset-management work across a multi-state consolidation.
